Non-Disclosure Agreement

NOTICE: Please read the Non-Disclosure Agreement set forth below, which is legally binding.

This Non-Disclosure Agreement ("Agreement") is entered into by and between Accelerated Success Network, LLC. doing business as Financial Readiness Workshop ("Business") and its employees and any individual or entity engaging with the Business's services, including but not limited to, official clients, potential clients, and applicants.

 

The Agreement becomes effective as of the earlier of:

  • For official clients: The date a person completes the onboarding process and makes a payment for services; or

  • For potential clients and applicants: The date a person first discloses any confidential information (as defined below) to the Business as part of the onboarding process or while expressing intention to become a client.

 

By engaging in either a client relationship with the Business or disclosing confidential information, the Client acknowledges and agrees to be bound by the terms and conditions of this Agreement.

 

In consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

  1. Definition of Confidential Information. For purposes of this Agreement, "Confidential Information" shall mean any and all information disclosed by a client to Accelerated Success Network, LLC. employees in connection with the client's participation in the Financial Readiness Workshop, including but not limited to the client’s:

    • Financial information, such as income, expenses, assets, debts, tax information, credit profile, investment goals, etc.

    • Personal information, such as name, date of birth, SSN, address, phone number, email address, etc.

    • Personal stories that could personally identify the client or someone else.

  2. Non-Disclosure. Financial Readiness Workshop agrees to keep Confidential Information confidential and to not disclose any Confidential Information to any third party without the client's prior written consent. Financial Readiness Workshop may use broad or generic summaries of situations or stories for marketing, motivation, or testimonials, but will never connect stories or testimonials with any information that could personally identify or connect to a client.

  3. Exceptions. The obligations of confidentiality under this Agreement shall not apply to any Confidential Information that:

    • The client explicitly and voluntarily provides for testimonials, public reviews, referrals, etc.

    • Is already widely and publicly known or accessible without having a prior business/client relationship.

    • Is required to be disclosed by law or court order.

  4. Arbitration. Any dispute arising out of or relating to this Agreement shall be subject to the following procedures:

              I. The parties shall first attempt to resolve the dispute through good faith discussions.

             II. If the parties cannot reach a resolution within thirty days, either party may initiate mediation by a neutral third party                                mutually agreed upon by the parties. The mediator shall be a qualified professional with experience in financial disputes or                    similar matters. The cost of mediation shall be shared equally by the parties.

            III. If the parties are unable to resolve the dispute through mediation within thirty days from the start of mediation, the dispute                      shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration                          Association ("AAA"). The arbitration shall be conducted in Indianapolis, IN. The decision of the arbitrator(s) shall be final                    and binding on the parties, and judgment on the award rendered by the arbitrator(s) may be entered in any court having                          jurisdiction thereof. The losing party shall be responsible for reimbursing the winning party for reasonable attorney fees and

                 costs incurred in connection with the arbitration.

  1. Term and Termination. This Agreement shall commence on the first day that a client’s confidential information is discussed, received, or provided and shall remain in effect indefinitely. The minimum amount of confidential information required to effectively deliver services will be retained for no longer than one year from the date of termination of service.   2. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its principles of conflict of laws.

  3. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

  4. Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.

  5. Waiver. No waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

  6. Notices. All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when:

    • Delivered electronically: Sent by email to support@financialreadinessworkshop.com

    • Confirmed receipt: Receipt is confirmed by a return email notification stating "Notice Received" from the intended recipient's email address.

  7. Headings. The headings in this Agreement are for convenience only and shall not affect its interpretation.

IN WITNESS WHEREOF, the parties agree to be bound by the terms and conditions of this Agreement. Acceptance of this Agreement is indicated by:

  • Completing the onboarding process and making a payment for services, OR

  • Clicking the "Accept" button presented at the end of this Agreement on the Financial Readiness Workshop website.

By engaging in either action, the Client acknowledges and agrees to be bound by the terms and conditions of this Agreement.
